background-color: #000000;\">GENERAL CONDITIONS OF THE SERVICE<\/span><\/h2>\n<p><span style=\"color: #ffffff; background-color: #000000;\">NB:\u00a0Users are required to carefully examine and approve the content of ALL these General Conditions, because even in the parts more specifically dedicated to a particular category of Users, &#8220;transversal&#8221; provisions are or may be contained, that is, they concern in some way also Users in general or those belonging to a different category<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Preamble<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Article 1 &#8211; Premises<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">ARTB srl in liquidation , with registered office in Cagliari, Via Carloforte n. 60, VAT number 03658740927 (hereinafter referred to as &#8221; Art Backers &#8220;), is an innovative start-up pursuant to and for the purposes of Legislative Decree 179\/2012 and subsequent amendments, as well as Law 33\/2015, which operates in the sector the sale of figurative works of art, the promotion of figurative art and the supply of various types of services connected to the aforementioned activities.\u00a0<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Art Backers has created the digital platform called &#8221;\u00a0Art Rights\u00a0&#8220;, which operates through the website www.artrights.me, a technological platform operating on the internet and on applications for mobile devices, through which Users can manage, track and enhance the own works and \/ or collections of works of figurative art through innovative technological systems that guarantee the safety of operations and the protection of the personal data of the subjects involved (hereinafter the &#8221;\u00a0Digital Platform\u00a0&#8220;).<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Through the Platform, Users can use the services offered by Art Backers as specified in the website\u00a0www.artrights.com\u00a0(hereinafter &#8221;\u00a0Website\u00a0&#8220;) and \/ or in the application for mobile devices, existing or that will come into existence, created by Art Rights or its representatives (hereinafter the &#8221;\u00a0Application\u00a0&#8220;).<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">User and Art Backers are also hereinafter referred to together as &#8221;\u00a0Parties\u00a0&#8221; and individually &#8221;\u00a0Party\u00a0&#8221;\u00a0.<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Article 2 &#8211; Definitions<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">For the purposes of these General Conditions, the terms indicated with a capital letter will have the meaning specified from time to time.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">In addition to the provisions of the previous point, for the purposes of these General Conditions, the following definitions shall apply:<\/span>\n<ul type=\"circle\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">Contract\u00a0: the contractual relationship between Art Backers and the User registered on the Digital Platform following the approval of these General Conditions, and possibly following the completion of the Application Form;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Registration Form\u00a0:\u00a0the online form that the User will be required to complete and sign, also electronically, in order to complete his registration on the Digital Platform and in order to use the services offered through it;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Visitor User\u00a0:\u00a0the User who browses the Website or uses the Application and \/ or uses the features and \/ or Services made available by the Website and \/ or the Application without registering on the Website or subscribing to any Service ;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Registered user (for short, even just &#8220;User&#8221;)\u00a0:\u00a0the User who has reached the age of majority and who signs up for the Service on the basis of the procedures set out in the Website and \/ or the Application, providing personal information to obtain access to use the Service itself;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">User Account\u00a0:\u00a0the personal digital profile within the Digital Platform, which the User will be required to create in order to become a registered User and be able to use all the Services provided through the Digital Platform;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Business User\u00a0:\u00a0the User registered on the Digital Platform as a Business Partner, who intends to use the Services provided through the Digital Platform reserved for Business Partners;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Basic User:\u00a0the User registered as Basic, who intends to use the basic Services provided through the Digital Platform;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Validator User:\u00a0the User registered as a Validator on the Platform, or the Business or Basic User who has requested and obtained registration on the Platform also as a Validator through the appropriate procedure.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Services\u00a0:\u00a0the set of services provided by Art Backers to Users of the Digital Platform;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Privacy Policy\u00a0:\u00a0the set of rules governing the methods of processing personal data provided by the User to Art Backers with the use of the Website and \/ or the Application and that the User declares to know and accept.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><span style=\"color: #ffffff; background-color: #000000;\">\u00a0Article 3 &#8211; Services<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">These General Conditions regulate the provision, by Art Backers, of the following services:<\/span><\/li>\n<\/ul>\n<ol type=\"1\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">Services provided to Basic Users\u00a0:<\/span><\/li>\n<\/ol>\n<p><span style=\"color: #ffffff; background-color: #000000;\">through the Digital Platform, Art Backers provides Basic Users with the following services:<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">Art Manager<\/span><\/li>\n<\/ul>\n<ol type=\"1\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">Services provided to Business Users\u00a0:<\/span><\/li>\n<\/ol>\n<p><span style=\"color: #ffffff; background-color: #000000;\">through the Digital Platform, Art Backers provides Basic Users with the following services:<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">Art Manager<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Art Concierge<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Personalized Services<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Please refer to Sections I and II of this Agreement for a more detailed description of the individual Services and for their regulation.<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">The Agreement between Art Backers and the User (Basic or Business) is made up of these General Conditions, any Membership Form and any related attachments.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">During the execution of the Contract, the Services offered may be subject to changes at the discretion of Art Backers.\u00a0In this case, the User will still be entitled to use the services that Art Backers has undertaken to provide in accordance with the provisions of these General Conditions, up to the end of the duration of the services themselves, excluding any future renewals.\u00a0Upon expiry of this period, the User may freely withdraw from the Contract, as established in articles 8.6 and 9.6 below.<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Section I.<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Description of the Services\u00a0<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Article 4 &#8211; Art Manager<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">REGISTRATION OF THE WORK AND CERTIFICATE<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">Through the Art Manager service, the User can enter the data of their works on the Platform, in a specific section, which will be visible to other Users.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">All data entered by the User will be encrypted through Blockchain technology.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">By entering the data, the User can request the release of a specific Certificate, with which Art Backers certifies the correctness and integrity of the data entry procedure on the Platform up to the transition to the blockchain.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The data, at the User&#8217;s discretion, can be entered through two distinct procedures: a\u00a0simplified\u00a0procedure\u00a0(Fast Rights) and a\u00a0complete\u00a0procedure\u00a0.\u00a0The information requested from the user varies according to the chosen procedure, but the Certificate that will be issued following the completion of the procedure will have similar content.\u00a0The Certificate will also contain a unique code that distinguishes each work, which will be attributed following the completion of the procedure.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">In order to create and process the Certificate, the User must access the appropriate section of the Website after having authenticated himself, and must provide Art Backers with the information requested by the forms relating to the Certificate requested.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The User may modify or integrate the information entered pursuant to point 4.5 above at any time.\u00a0In any case, the User may never modify the information entered in the &#8220;WORK OF ART&#8221; section of the Website, in order to guarantee the integrity of the registration process of the work.\u00a0In the event that this latest information, or that contained in the Certificate, is incorrect or incomplete, the User will be required to request its elimination through the appropriate procedure that can be activated on the Website, and possibly request the release of a new Certificate. , after re-entering all the requested information.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The User undertakes to provide truthful and complete information, assuming full responsibility in this regard, and relieving Art Backers from any related civil and criminal liability.\u00a0Art Backers is not responsible and excludes any liability in relation to all information provided by the User.\u00a0Without prejudice to the User&#8217;s sole responsibility for the information provided during the request for a Certificate, Art Backers reserves the right in any case to make any appropriate checks and to proceed according to the provisions of point 4.8 below.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">In the event that Art Backers, before issuing the Certificate requested by the User, finds that one or more information provided by the User himself is incorrect or incomplete, it may request the latter to correct this information within a maximum period. di &#8212; In the event that the User fails to correct the information or does not provide the appropriate clarifications within the aforementioned term, Art Backers may refuse to issue the Certificate without further notice.\u00a0Art Backers may proceed in the same way if, after issuing the Certificate, it finds that one or more information provided by the User is incorrect or incomplete.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">By subscribing to the subscription referred to in 9.5 below, the Business User will be entitled to obtain an unlimited number of Certificates during the duration of the subscription.\u00a0The Certificates requested during the duration of the subscription, in the event of its termination for any reason, will be issued to the User at no additional cost.<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #ffffff; background-color: #000000;\">VALIDATION OF THIRD PARTIES<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">The User may also request\u00a0Third Party Validation\u00a0(hereinafter referred to as &#8220;Validation&#8221;) for his work by the &#8220;Validators&#8221; registered on the Platform.\u00a0The Validators are Artists, Collectors, Art Galleries, Public and Private Institutions, as well as other professionals with skills considered by Art Backers suitable for obtaining this qualification pursuant to 10 below.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The validation of the work allows to confirm the correctness of the information on the works of art reported on the Platform and in the Certificate.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">In order to request Validation, the User must send a specific request to the Validator chosen by him through the appropriate procedure within the Platform.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The Third Party Validation service is subject to the payment of an additional fee with respect to that envisaged for the general use of the Services provided through the Digital Platform.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">For Basic Users the amount of the consideration referred to in point 4.13 above will be that indicated on the Website and \/ or on the Application.\u00a0For Business Users, the amount of this fee will be communicated from time to time by Art Backers upon activation of the Third Party Validation procedure.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The consideration referred to in point 4.13 above will be paid by the User in favor of Art Backers, who will retain 20% of the amount, paying the remaining 80% to the Validator.<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #ffffff; background-color: #000000;\">ART RIGHTS<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">Furthermore, through the &#8220;Art Rights&#8221; section within the Platform, the User can monitor the activities carried out by the same within the Platform:<\/span>\n<ul type=\"circle\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">verify the validation requests made and received;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">consult the list of Validators registered on the Platform and the profiles of each Validator;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">verify the presence within the Platform of a specific work;<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">check the sales proposals of the works of art sent and received (only for Business Users).<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><span style=\"color: #ffffff; background-color: #000000;\">SALE OF WORKS<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">The User can also make contact with other Registered Users in order to sell their works.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The relationships and contractual conditions of the services requested by the User pursuant to point 4.17 above will be fully managed by the Users involved in the transaction.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">In the event that the transaction referred to in point 4.17 above is completed, Art Backers will be entitled to receive a consideration equal to 20% of the consideration received by the selling User.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Users involved in the transaction The User and the professional \/ company will be solely responsible for the information and data exchanged as well as for the fulfillment of their respective obligations.\u00a0Art Backers declines any responsibility in this regard, nor can it in any way be held responsible for any non-fulfillment, delay or damage of any other type arising from the aforementioned Users.<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Article 5 &#8211; Art Concierge<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">The Art Concierge Service can be used by Business Users by accessing the appropriate Section of the Platform.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The Art Concierge Service allows Users to contact one of the categories of professionals or companies in the sector present in the appropriate section of the Platform, in order to request a specific service (by way of example and not limited to: management, promotion, enhancement and protection services works of art or entire collections of works of art belonging to the User, even if not registered on the Platform)<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The relationships and contractual conditions of the services requested by the User pursuant to point 5.2 above will be managed entirely by the User himself and the professional supplier or the supplier company.\u00a0Art Backers does not perform any brokerage services and will not require any additional compensation or commission with respect to such services.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">The User and the professional \/ company will be solely responsible for the information and data exchanged as well as for the fulfillment of their respective obligations.\u00a0Art Backers declines any responsibility in this regard, nor can it in any way be held responsible for any non-fulfillment, delay or damage of any other type deriving to the User or to the professional supplier or to the supplier company from the services contracted through the Art Concierge section.<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Article 7 &#8211; Personalized services<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">Art Backers reserves the right to offer Business Users, at no additional cost, additional personalized services (by way of example and not limited to: newsletters, contacts between Users and art galleries or other institutions; commercial offers, [&#8230;])<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">By accepting these General Conditions, the User accepts that Art Backers can offer the same at its discretion the services indicated in point 7.1 above, and authorizes the processing of their personal data for the purposes and purposes indicated therein.<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Section II<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Registration Procedures and Other Common Provisions\u00a0<\/span><\/p>\n<p><span style=\"color: #ffffff; background-color: #000000;\">Article 8 &#8211; Registration on the Basic User&#8217;s Digital Platform<\/span><\/p>\n<ul type=\"disc\">\n<li><span style=\"color: #ffffff; background-color: #000000;\">In order to use the Services governed by these General Conditions, the Basic User will be required to register on the Digital Platform.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">To this end, the User will be required to access the appropriate section of the Website or the Application and fill in the appropriate registration form by entering the requested data.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Once the registration procedure is completed, the User will receive a confirmation e-mail to the e-mail address indicated during registration, with a link through which it will be possible to confirm the registration.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">Starting from the date of confirmation of registration on the Digital Platform as established in point 8.3 above, the User may use the Services by paying the price of each Service according to the amounts and methods specified on the Website or Application.<\/span><\/li>\n<li><span style=\"color: #ffffff; background-color: #000000;\">reproduce, process, rewrite, translate, adapt, transform, modify, alter permanently or temporarily, in whole or in part, by any means or in any form;<\/span><\/li>\n<li><span style=\"color: #ffffff;
